Terms and Conditions of Sale and Delivery for Wet Wipe A/S

1. Validity
The terms and conditions of sale and delivery apply to all offers, sales, and deliveries, unless otherwise agreed in writing.
2. Offer and Acceptance
The seller’s offers and sales material are provisional. An agreement is only considered concluded when the seller issues an order confirmation or carries out the execution of the order.
3. Prices
The seller’s prices are exclusive of VAT, fees, and charges applicable at any given time. The seller reserves the right to change prices without notice.
4. Order confirmation
Since orders are normally delivered from stock, an order confirmation is generally not issued. The delivery note and invoice therefore serve as the order confirmation.
5.Cancellation of Orders
Order cancellations must be made in writing. The seller reserves the right to invoice any cancellation costs incurred.
6. Terms of payment
Payment must be made by the date stated on the invoice. In the event of late payment, the seller reserves the right to add interest of 2% per commenced month. Reminder letters are subject to a fee of DKK 250.00.
7. Retention of title
The seller retains ownership of any delivery until payment has been made in full.
8. Resale
If the seller has granted the buyer written permission to resell the products, such resale must take place under the same terms as if the seller were selling the products directly to the buyer’s customers.
9. Delivery
Delivery normally takes place within 2 working days after acceptance of the order. If a delivery deviates from what was ordered, the buyer must notify the seller within 5 days; otherwise, the seller’s order confirmation or invoice is considered valid.
Delivery is made via freight carrier, and transport costs are invoiced to the buyer unless otherwise agreed. The delivery time is determined by the seller to the best of their judgment. The seller will inform the buyer as soon as possible in case of delays.
During winter, shipments over weekends and holidays may be delayed by one or more days to ensure that products are not damaged by weather conditions.
Delivery is ex Vallensbæk unless otherwise agreed.
10. Packaging
Delivery normally includes packaging unless otherwise agreed.
11. Claims
Upon receipt of any goods delivered by the seller, the customer is obligated to inspect them without undue delay and no later than within 8 calendar days. Claims submitted after this period—if related to issues that could have been identified within the 8 days—will not be accepted.
Otherwise, the provisions of the Danish Sale of Goods Act regarding claims between businesses apply.
Transport damage must be reported immediately upon receipt of goods to both the seller and the carrier; otherwise, the seller cannot be held responsible.
12. Product information
All product information—regardless of whether it originates from the seller or one of the seller’s business partners, including technical data—is for guidance only and is binding only insofar as the seller specifically refers to it. Specific requirements from the buyer are only binding when confirmed in writing by the seller.The latest versions of all product information can always be found at www.wetwipe.dk.
13. Product Liability
The seller is liable for damage caused by the product to property or persons only if it can be documented that the damage resulted from an error or negligence committed by the seller or the seller’s employees, with a maximum total liability of DKK 2,000,000.
Under no circumstances is the seller liable for loss of operations, loss of profit, or any other economic consequential losses.
If a third party makes a claim against the buyer due to product damage, the buyer must immediately and without undue delay notify the seller in writing.
In the case of resale, the buyer must ensure traceability of the products to the final customers; otherwise, the seller disclaims product liability.
14. Returns
Goods may only be returned if agreed in writing between the parties. In all cases, crediting of returned goods requires that they are saleable, including having at least 12 months of remaining shelf life, are undamaged, and in the original unopened packaging.
15. Force Majeure
The seller is not liable for losses incurred by the buyer due to extraordinary circumstances that prevent, complicate, or significantly increase the cost of fulfilling the agreement, provided such circumstances arise after the submission of an offer or conclusion of an agreement and are beyond the seller’s control—including Force Majeure events affecting subcontractors.
16. Disputes
Disputes arising under the above terms shall be settled according to Danish law, with the Copenhagen City Court as the venue.

Data Controller
“Wet Wipe A/S” (referred to in this policy as “we”, “us”, “our”, or “Wet Wipe”), headquartered in Denmark, is the “data controller” for all personal information collected and used regarding Wet Wipe’s customers, suppliers, and business partners under the Danish Data Protection Act 2018.
Wet Wipe A/S is registered in Denmark under CVR number 30207726.
Which Personal Data We Collect
Personal data means any information related to you that allows us to identify you, such as your name, contact details, reference number, and payment information. We may collect personal data from you when you order goods, become our supplier or business partner, or when you contact us.
We may particularly collect information in the following categories:
a. Name, home address, email address, telephone number
b. Communications you exchange with us or send directly to us via letters, emails, chat services, phone calls, and social media

Customers
a. Provision of products and services you request:
We use the information you provide to deliver the services connected to your purchase.
b. Customer service communication:
We use your data to manage our relationship with you as a customer and to improve our service and your experience with us.
c. Administrative or legal purposes:
We use your data for statistical and market analysis, system testing, customer surveys, maintenance and development, or to handle disputes or claims.
Please note that we may conduct data profiling based on the information we collect from you for statistical and market analysis purposes.
Any profiling activities are carried out only with your prior consent and with every effort made to ensure that the data used is accurate.
By providing personal information, you explicitly agree that we may use it to perform profiling activities in accordance with this data protection policy.
Suppliers
We use your data to manage our relationship with you as our supplier, including cooperation regarding the purchase of raw materials and related matters.
Business Partners
We use your data to manage our relationship with you as our business partner, including cooperation related to the distribution of our products.
General
We process your personal data only when we have a legal basis to do so. The legal basis depends on the reasons for which we collected your data and what we need it for.
In most cases, we need to process your personal data to fulfill an agreement with you.
Only children aged 16 or over may provide their own consent. For children under this age, consent from a parent or guardian is required.
We do not keep your data longer than necessary to fulfill the purpose for which it is processed.
To determine the appropriate retention period, we assess the amount, nature, and sensitivity of the personal data, the purposes for which we process it, and whether we can achieve those purposes in other ways.

Your Data Protection Rights
Under certain circumstances, you have the legal right to:

- Withdraw your consent. You do not need to pay a fee to access your personal data (or to exercise any of the other rights). However, we may charge a reasonable fee if your request for access is clearly unfounded or excessive. Alternatively, we may refuse to comply with the request in such circumstances.
We may need to request specific information from you to help us confirm your identity and ensure your right to access the information (or to exercise any of your other rights). This is another appropriate security measure designed to ensure that personal data is not disclosed to anyone who does not have the right to receive it.
